TERMS OF SERVICE

These Terms of Service (“Terms”) govern your use of TradingPact (“the Service”), operated by TradingPact (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using TradingPact, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Description of Service
TradingPact is a trading discipline enforcement platform. The Service allows you to:
- Define trading pacts with 8 configurable rule types (max risk %, max daily loss, position size limits, required stop loss, max open trades, max daily trades, session hours, and symbol blocking).
- Lock pacts for set durations (24 hours to 1 month) to prevent impulsive modifications.
- Evaluate trade intents against locked pacts, receiving ALLOW, SOFT_ALLOW, or DENY decisions.
- Optionally enable real-time enforcement that monitors live broker positions via MetaAPI and can automatically close positions that violate your locked rules.
- Designate accountability partners who can gate unlock requests.
- Track discipline through P&L analytics, risk audit history, and streak milestones.
TradingPact is a self-discipline tool. It does not provide financial advice, investment recommendations, trading signals, or trade execution services. It does not manage money or make trading decisions on your behalf.
3. Account Terms
- You must be at least 18 years of age to use the Service.
- You are responsible for maintaining the security of your account credentials, API keys, and broker connection tokens.
- Each account is intended for a single individual. Sharing accounts is not permitted.
- You must provide accurate and complete information during registration and keep it up to date.
- You are responsible for all activity that occurs under your account, including any trades evaluated or enforced by the Service.
4. Financial & Trading Disclaimer
TradingPact does not provide financial advice. Nothing in the Service should be construed as financial advice, investment guidance, or a recommendation to buy, sell, or hold any financial instrument.
Force-close enforcement acts solely on user-defined rules. If you enable real-time enforcement and a position violates your locked pact, TradingPact will attempt to close that position automatically. This action is based entirely on rules you configured and locked yourself. We make no judgment about whether the trade is good or bad — we enforce only what you defined.
We are not responsible for:
- Trading losses or gains resulting from decisions you make while using the Service.
- Trading losses resulting from positions that are force-closed by the enforcement service based on your own locked rules.
- The suitability, correctness, or effectiveness of any trading pacts you configure.
- Market conditions, broker execution quality, slippage, gaps, or any other factors outside our control.
- Missed enforcement actions due to MetaAPI downtime, broker disconnection, network issues, or any technical failure.
Trading financial instruments involves substantial risk of loss and is not suitable for all individuals. You should only trade with capital you can afford to lose. Past discipline metrics shown in TradingPact do not guarantee future trading results.
5. User Responsibilities
By using TradingPact, you agree that:
- Broker credentials — you will provide accurate broker connection information. You understand that incorrect or stale credentials may prevent enforcement from working.
- Understanding of risks — you understand that real-time enforcement can and will close positions that violate your locked rules, potentially at a loss.
- Pact configuration — you are solely responsible for configuring your pact rules correctly. TradingPact enforces exactly what you define.
- Lock commitment — you understand that locked pacts cannot be immediately modified. Unlock requests are subject to escalating friction (cooldown periods and partner approval).
- API key security — you are responsible for keeping your trade-intent API keys secure and revoking compromised keys immediately.
6. Subscription & Billing
- TradingPact offers a free demo dashboard with a mock account so you can explore the product before connecting a broker. Managed accounts — where TradingPact provisions the MetaAPI connection and runs live enforcement — are billed at $14.99 per account per month, reducing to $10 per account once you run 5 or more Managed accounts. Prices are in USD.
- Paid subscriptions are processed through Stripe. By subscribing, you authorize recurring charges at the applicable rate.
- Subscriptions auto-renew at the end of each billing period unless cancelled.
- You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.
- No refunds are issued for partial billing periods. If you cancel mid-cycle, you retain access until the end of the paid period.
- We reserve the right to change pricing with 30 days’ notice via email. Price changes do not apply retroactively to the current billing period.
- If your payment fails, we may suspend access to paid features until payment is resolved.
7. Data Ownership
You own your trading data. Your broker data, pact configurations, journal entries, and risk audit history belong to you. We do not claim any ownership or intellectual property rights over your data.
You grant us a limited license to use your data solely for the purpose of providing and improving the Service. This license terminates when you delete your account.
You may export your trading data at any time. Upon account deletion, all your personal and trading data is permanently removed from our systems via cascading database deletion.
8. Acceptable Use
You agree not to:
- Use the Service to facilitate market manipulation, wash trading, or any illegal trading activity.
- Use the Service in violation of any applicable laws or regulations, including securities laws and anti-money laundering regulations.
- Abuse, overload, or interfere with our API, infrastructure, or enforcement systems.
- Attempt to circumvent pact enforcement mechanisms, locked policies, or friction delays through technical means.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Share your API keys or account access with unauthorized parties.
- Use automated systems to scrape, crawl, or extract data from the Service beyond the documented API.
- Impersonate another user or misrepresent your identity.
9. Limitation of Liability
To the maximum extent permitted by applicable law, TradingPact and its officers, directors, employees, and agents shall not be liable for:
- Any trading losses incurred while using or relying on the Service, whether from trades you placed or positions closed by enforcement.
- Failures in pact evaluation, enforcement, or broker communication due to technical issues, network outages, or third-party service disruptions (including MetaAPI downtime or broker disconnections).
- Delays in trade execution, enforcement lag, or position close failures caused by broker-side issues, market conditions, or API rate limits.
- Loss of data due to unforeseen technical failures, subject to our backup and recovery procedures.
- Any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless TradingPact and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your trading activities.
11. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible).
- Third-party service outages (MetaAPI, Better Auth, Stripe, hosting providers).
- Unforeseen technical issues or force majeure events.
Real-time enforcement depends on a continuous WebSocket connection to your broker via MetaAPI. We cannot guarantee that enforcement will catch every violation instantly. Enforcement is a best-effort service — it is not a substitute for your own trading judgment and discipline.
12. Termination
By you: You may cancel your account at any time through your account settings or by contacting us. Upon cancellation, your subscription continues until the end of the current billing period, after which paid features are disabled.
By us: We may suspend or terminate your account if you violate these Terms, engage in conduct that is harmful to the Service or other users, or for any other reason at our sole discretion with reasonable notice. In cases of severe violations (fraud, abuse, illegal activity), we may terminate immediately without notice.
Effect of termination: Upon termination, your right to use the Service ceases immediately. Your data is handled according to our Privacy Policy— personal and trading data is permanently deleted, with anonymized aggregate analytics retained for product improvement.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email and update the “last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service and cancel your account.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the competent courts of Ontario, Canada.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TradingPact regarding your use of the Service. These Terms supersede any prior agreements or understandings.
